Abacus Law, as its name suggests, was founded on the premise that our attorneys extensive business backgrounds lend themselves well to the business planning needs of our clients. Both founding partners are CPAs as well as MBAs and lawyers. Moreover, we plan and draft, as well as defend and prosecute a range of business transactions and deals, including, but not limited to real estate purchase/sale agreements, vendor/customer agreements, commercial and contractual arrangements, licenses, construction and construction management agreements, as well as employment and shareholder agreements.

Business Formation

As in many areas of our practice, we coordinate entity formation with tax and asset protection planning strategies in order to maximize our clients personal and business interests through the use of such planning devices as buy-sell agreements, nondisclosure and confidentiality agreements, licensing agreements, covenants not to compete, merger and acquisition agreements and “shark repellants” and “porcupine provisions” in organizing documents.

Business Transactions

When entering into a contract or any other business transaction, we encourage our clients to consult us first, so that we can use our expertise as business lawyers to make sure there are no hidden contractual traps in your contract and that the agreements are drafted in a manner that best serve your needs. Abacus Law´s attorneys also assist our clients in the preparation of private placement memorandum, as well as other creditor and investor packages.

Business Dispute Resolution

At Abacus Law we understand the time and effort that our clients invest in making their businesses successful. In acting as your advocate and counsel, we begin that process by proper planning and we fervently believe that “failing to plan is planning to fail.” We further believe that “an ounce of prevention is worth a pound of cure.” Accordingly, we typically provide for dispute resolution in documents that we draft and we advise our clients of the advantages and disadvantages of alternative dispute resolution (ADR) vis-á-vis judicial litigation, where applicable.
